AEVIS VICTORIA SA publie le prospectus de l'offre publique d'acquisition sur LifeWatch SA
L'action LifeWatch est valorisée entre CHF 12.40 et CHF 13.60 par l'offre d'échange
AEVIS VICTORIA SA (AEVIS) a publié aujourd'hui le prospectus d'offre publique d'acquisition pour l'ensemble des actions nominatives de LifeWatch SA (LifeWatch) en mains du public. L'annonce préalable avait été publiée le 24 janvier 2017.
Le titre AEVIS n'étant pas considéré comme liquide au sens de la réglementation en matière d'OPA, Ernst & Young a été mandatée pour déterminer de manière indépendante la valorisation de l'action AEVIS. Ernst & Young a évalué la valeur de l'action AEVIS entre CHF 68.20 et CHF 74.80 par action. L'action LifeWatch est ainsi valorisée entre CHF 12.40 et CHF 13.60 dans le cadre de l'offre d'échange.
AEVIS et ses actionnaires de référence détiennent aujourd'hui déjà 2'216'267 actions nominatives LifeWatch, ce qui correspond à 11.99% du capital-actions et des droits de vote. L'offre publique d'acquisition est soumise à plusieurs conditions, dont celle qu'AEVIS détienne 67% des actions nominatives LifeWatch après l'échéance de la période d'offre. Suite à l'aboutissement de l'offre, LifeWatch deviendra une filiale d'AEVIS, gérée de manière indépendante, et permettra à AEVIS de durablement renforcer ses activités de télémédecine. AEVIS entend poursuivre la stratégie de croissance de LifeWatch de manière significative et est convaincue que LifeWatch bénéficiera de sa présence en qualité d'actionnaire de référence ayant une implantation forte dans le secteur des soins de santé. AEVIS pourra apporter une vision sur le long terme et les moyens financiers nécessaires pour développer son modèle d'entreprise.
La période d'offre débutera le 7 mars 2017 et s'achèvera le 10 avril 2017 à 16h00 HAEC. UBS SA a été mandatée par AEVIS pour l'exécution de l'offre publique d'acquisition.
Dans le cadre de cette offre publique d'acquisition, AEVIS publiera ses résultats annuels 2016 le 27 mars 2017.
